China Yida Holding Company is a leading comprehensive tourism and media management company. Dedicated to expanding the fast-growing media and tourism markets in China, the Company strives to be No. 1 in the Chinese cultural and economic sectors and to become an advocator and industry leader in China.

China Yida was established in November 2007 following a reverse merger with Keenway Limited. Keenway Limited was incorporated under the laws of the Cayman Islands on May 9, 2007 for the purpose of functioning as an off-shore holding company to obtain ownership interests in Hong Kong Yi Tat International Investment Co., Ltd. Its registration number is CR-187088. Mr. CHEN Minhua and Ms. FAN Yanling, his spouse, were majority shareholders of Keenway, prior to the Merger. Pursuant to the merger, the Registrant owns 100% of the capital stock of Keenway Limited. Keenway Limited, incorporated in the Cayman Islands, owns 100% of Hong Kong Yi Tat International Investment Co., Ltd., a company organized in Hong Kong. Hong Kong Yi Tat International Investment Co., Ltd. wholly owns Fujian Tourism Developments Co., Ltd. and has a contractual relationship for services with Fujian Jiaoguang Media Co., Ltd. (collectively, these entities shall be referred to as the "Keenway Companies"). On November 19, 2007, Chen Minhua, Fan Yanling, Extra Profit International Limited, Luck Glory International Limited, and Zhang Xinchen (collectively, the Keenway Shareholders"), Keenway Limited, Hong Kong Yi Tat and we entered into a definitive Share Exchange Agreement ("Exchange Agreement") which resulted in Keenway becoming our wholly owned subsidiary (the "merger"). The merger was accomplished by means of a share exchange in which the Keenway Shareholders exchanged all of their stock in Keenway for the transfer and additional issuance of our common stock. Under the terms of the Exchange Agreement and as a result of the Merger:

  • Keenway became our wholly owned subsidiary;
  • In exchange for all of their shares of Keenway common stock, the Keenway Shareholders received 90,903,246 newly issued shares of our common stock and 3,641,796 shares of our common stock which was transferred from certain InteliSys Shareholders;
  • Immediately following the closing of the Merger, the Keenway Shareholders own approximately 94.5% of our issued and outstanding shares on a fully diluted basis.

This transaction closed on November 19, 2007.

 

China Yida' has a two-legged business which consists of a TV media business and a tourism business. Its TV media business focuses on managing channel content and advertising for television stations in order to growth air time value and sales. Its tourism business invests, develops and manages Scenic Sites to optimize revenue potential of the sites.

 

China Yida Holding Co., Ltd. is a leading comprehensive media and tourism management company headquartered in Fuzhou of Fujian Province in China. Dedicated to expanding the fast-growing media and tourism markets in China, the Company strives to be No. 1 in the Chinese cultural and economic sectors and becoming an advocator and industry leader in China.

In the media business, the Company manages channel content, operations and advertisements, airing a wide variety of programming to attract a wide audience: news, social studies, entertainment, lifestyle, films and teleplays. It also manages the content and production of advertisements, as well as educational and cultural TV programs. China Yida efficiently manages airtime to maximize its investment, with advertisements accounting for 15% of air time. Operating cash flow in the near-term supports early development stage investments for the Company.

In the tourism business, the Company invests and manages tourism in cultural and historic scenic sites in China, with the goal of uncovering attractive, unique, cultural and historic scenic destinations and then securing the management rights to develop, manage and generate revenues for these selected cultural and historic sites. China Yida builds value through the development of acquired sites into attractive tourist destinations, optimizing revenue potential through ongoing enhancements to the attraction's features and recreational activities.

The media and tourism businesses create a synergetic operating platform: China Yida is able to leverage its provincial TV channel as an educational and promotional platform for its tourist destinations at high run-rates and low advertising costs. The tourist destination serves as the content and sales/marketing platform, thus saving production and advertising costs of buying media space. Increased channel viewership ratings and helping to develop additional advertisers from Yida's tourism partners.

 

Major clients served by FETV include Advertising agencies and corporations that purchase advertising space. Customers of The Great Golden Lake are domestic and foreign tourists.

 

For TV media, the Company has entered into business relations with more than 100 media entities, program providers and program-producing companies nationwide and has gradually established long-term, in-depth and linked partnerships with selected entities. Major partners and program providers include: Hunan TV's politics and law channel, Chongqing TV's culture channel, The China International TV Corporation, Shanghai Hairun Film & Television Production Co., Ltd, Jindun (Golden Shield) Film and Television Co., Ltd.

For tourism, the Company signed a marketing agreement with more than 30 strong tourism agencies and established a partnership with large tourism agency groups and unions including China Travel Service Fujian, China Comfort Travel Group Co., Ltd, Dragon's Tour Travel Service Ltd, Haozhilv International Travel Service Limited Company, Jiangxi Changyun Travel Service and GZL International Travel service Ltd (Guangdong) to strengthen joint marketing in major customer source markets including Guangzhou, Beijing, Changsha, Hangzhou, Shanghai, Nanchang, Wuhan and Nanjing.

 

We mainly offer the following services and products:

  1. TV media operation and management services, which include operation of channels, formatting of layout, operation of advertising, etc. Currently, we operate Fujian Education TV (its station's call signal has recently been changed to "FETV.")

  2. Tourist area operation and management services include overall operation, overall management, special operation, commissioned management, management consultancy, etc. Currently, our main operation is The Great Golden Lake (which encompasses five scenic spots).

 

We do not believe we have any competitors that have the same operations business model as China Yida. However, there are a few competitors in both the media and tourism fields. Our media competitors are Hai Nan Haishi Tourist Satellite TV Media Co., Ltd, Beijing Paigetaihe Global Culture and Media Investment Limited, Inner Mongolia TV Station. Our tourism competitors are Beijing Capital Tourism Co., Ltd, CTS Resort Investment & Development Corp., Ltd and Huanglongdong Investment Co., Ltd.

As of August 2008, the Company has issued 68,084,487 shares, 547,510 shares of which are publicly traded.
